These Terms & Conditions set the expectations for using MetisSuiteAI responsibly. If you have a signed order form or service agreement, that document controls if it conflicts with these Terms.
Agreement and eligibility
These Terms govern your access to MetisSuiteAI websites, applications, AI-assisted features, and related services. By using the services, you agree to these Terms. If you use the services for an organization, you represent that you are authorized to bind it. You must be at least 18 years old and legally able to enter into this agreement.
Accounts and access
You must provide accurate account information, keep credentials secure, and promptly notify us of suspected unauthorized use. You are responsible for activity under your account and for ensuring that your users follow these Terms. We may suspend access when reasonably necessary to protect the services, users, or third parties.
Subscriptions, fees, and taxes
Fees, billing cycles, usage limits, and renewal terms are stated in the applicable order form or checkout. Unless stated otherwise, fees are non-refundable except where required by law. You authorize us and our payment processors to charge the payment method you provide. You are responsible for applicable taxes other than taxes on our income.
Permitted use
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the services for your internal business purposes.
- Do not use the services unlawfully, deceptively, or to violate another person’s rights.
- Do not upload malicious code, disrupt the services, bypass security or usage limits, or attempt unauthorized access.
- Do not reverse engineer, resell, or create a competing service from protected elements of the services except where the law expressly permits it.
- Do not use generated content or outreach tools for spam, harassment, discrimination, or regulated activity without required authorization and review.
Your data and responsibilities
You retain ownership of data, content, and instructions you submit. You grant us the rights needed to host, process, transmit, and display that material to provide and improve the services. You represent that you have the rights and permissions required to submit the material, contact the people in your records, and connect third-party services. You are responsible for lawful notices, consents, retention settings, and backups appropriate to your business.
AI output and human review
AI-assisted output may be inaccurate, incomplete, or similar to output provided to others. It is provided as a productivity aid, not as legal, medical, financial, scientific, or other professional advice. You are responsible for human review, factual verification, regulatory compliance, and any decision or action taken from output. Configure approvals before allowing the services to send messages, publish content, create transactions, or update business records.
Third-party services
The services may connect with third-party platforms, websites, models, payment processors, or communications providers. Your use of those services is governed by their terms and policies. We are not responsible for third-party services, their availability, or changes they make. You authorize us to exchange data with integrations you enable.
Intellectual property and feedback
MetisSuiteAI and its licensors own the services, software, designs, documentation, and related intellectual property. No rights are granted except as expressly stated. If you provide feedback, you allow us to use it without restriction or payment, provided we do not identify you publicly without permission.
Confidentiality
Each party will use reasonable care to protect the other party’s non-public confidential information and will use it only to perform under these Terms. This obligation does not apply to information that is public through no fault of the recipient, already lawfully known, independently developed, or rightfully obtained from another source.
Changes, suspension, and termination
We may update features and these Terms as the services evolve. Material changes will be posted with an updated effective date. Either party may terminate as provided in an order form. We may suspend or terminate access for material breach, nonpayment, security risk, or unlawful use. Provisions that by their nature should survive termination will survive, including payment, ownership, disclaimers, limits of liability, and dispute provisions.
Disclaimers
To the fullest extent permitted by law, the services are provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the services or AI output will be uninterrupted, error-free, or meet every business or regulatory requirement.
Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill. MetisSuiteAI’s total liability arising from the services will not exceed the fees paid or payable for the services during the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot legally be limited.
Indemnification
You will defend and indemnify MetisSuiteAI against third-party claims arising from your data, your unlawful or unauthorized use of the services, your violation of these Terms, or your violation of another person’s rights. We will provide reasonable notice and cooperation, and you may not settle a claim in a way that admits fault or imposes obligations on us without our consent.
Governing law and general terms
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules, and applicable federal law. Courts located in Georgia will have exclusive jurisdiction unless an applicable order form states otherwise. Neither party may assign this agreement without consent, except in connection with a merger, acquisition, or sale of substantially all assets. If a provision is unenforceable, the remainder stays effective. These Terms and applicable order forms are the complete agreement regarding the services.
